Remote Access Agreement
This Remote Access Agreement (the "Agreement") is entered into as of the date of electronic acceptance by and between J-Remote Solutions,
WHEREAS, the Provider provides technical support services to the Client; and
WHEREAS, the Client is willing to grant the Provider remote access to its devices to facilitate the provision of such technical support services.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

Services.
Provider shall provide technical support services to the Client ("Services") remotely. Provider may remotely access the Client's device(s) and network to diagnose and troubleshoot issues that may arise during the provision of the Services. The Client acknowledges that Provider shall not be responsible for any problems or issues that may arise from the Client's use of its device(s) or network, and that the Provider shall not be liable for any damages that may arise from the provision of the Services.

Access.
The Client grants Provider the right to access its device(s) and network to provide the Services. Such access shall be granted through a remote access tool that shall be installed on the Client's device(s) by the Provider. The Client agrees to provide Provider with all necessary information and access to enable Provider to provide the Services.

Security.
The Client acknowledges that the remote access tool may create a potential security risk and that the Client is solely responsible for maintaining the security of its device(s) and network. The Provider shall use commercially reasonable efforts to ensure that its remote access tool does not cause any security breaches or other damages, but shall not be liable for any damages that may result from such breaches.

Confidentiality.
The Parties acknowledge that they may have access to confidential information of the other party in connection with the provision of the Services. The Parties agree to hold such confidential information in strict confidence and to use such confidential information solely for the purpose of providing the Services.

Term and Termination.
This Agreement shall remain in effect until terminated by either party upon written notice to the other party. Either party may terminate this Agreement for any reason upon [number] days' prior written notice to the other party.

Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the state/country in which the Provider is located, without giving effect to any choice or conflict of law provision. Any disputes arising under or in connection with this Agreement shall be resolved exclusively through arbitration in accordance with the rules of the American Arbitration Association.

Entire Agreement.
This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
